These Terms of Service ("Terms") govern your use of Vaultly, a held-deposit platform operated by CONSOLVRA in Australia. By creating an account or using Vaultly you agree to these Terms.
1. What Vaultly does
Vaultly lets a seller create a deposit request and a buyer pay that deposit via Stripe. Funds are held under Stripe's regulated custody until both parties confirm completion, a refund is approved, or a dispute is resolved. Vaultly is not a bank and never takes custody of your money.
2. Eligibility
You must be 18+ and legally able to enter contracts in Australia. You must complete identity verification before you can send or receive money. Business accounts must supply valid ABN details.
3. Fees and card-processing recovery
Vaultly charges a per-transaction service fee of 1.5% of the deposit, with a minimum of A$5.00. All amounts are in Australian dollars and are itemised on every deposit request before payment.
Separately from the service fee, Vaultly discloses a card-processing-cost recovery at Checkout that recovers the calculated domestic-card acceptance cost for this transaction. The recovery amount is disclosed line-by-line and does not exceed Vaultly’s calculated domestic-card acceptance cost for the transaction. Stripe identity fees and other regulated third-party fees may apply and are shown separately when relevant.
4. Releases, refunds and cancellations
- Seller-recipient release: when a deposit is released to the seller, the deposit principal only is transferred to the seller’s connected account. The Vaultly service fee and the card-processing-cost recovery are retained.
- Buyer-recipient release: when a deposit is refunded to the buyer under the release rules, the deposit principal only is returned. Original Stripe processing fees are not returned by Stripe after the payment has been processed.
- Paid-seller cancellation: where a paid deposit is cancelled, the refund follows Vaultly’s existing approved cancellation formula (deposit principal plus the Vaultly service fee), with the card-processing-cost recovery retained to offset the non-returned Stripe cost. Original Stripe processing fees are not returned after payment has been processed.
- Refund rules and non-refundable terms are set by the seller and shown to the buyer before payment. Either party may open a dispute; Vaultly reviews evidence and may escalate to Stripe or Australian dispute-resolution bodies.
Australian launch availability
- All transactions are processed in Australian dollars (AUD).
- Only debit or credit cards issued by an Australian financial institution are currently accepted.
- Choosing Australia as the billing country does not make an overseas-issued card eligible.
- Payment availability may expand later.
5. Prohibited use
You must not use Vaultly for illegal goods, sanctioned parties, money laundering, or to circumvent chargeback protections. Vaultly may freeze funds and terminate accounts that breach these Terms or applicable law.
6. Liability
To the maximum extent permitted by Australian law, Vaultly's aggregate liability to you is limited to the fees you paid to Vaultly in the 12 months preceding the claim. Nothing in these Terms excludes rights that cannot be excluded under the Australian Consumer Law.
7. Governing law
These Terms are governed by the laws of New South Wales, Australia.
